Hylume Terms of Use & Software Licence Agreement

These Terms of Use and Software Licence Agreement (“Terms”) govern your purchase, download, installation, access to, and use of Hylume Desktop (“Hylume,” the “Software,” “we,” “us,” or “our”).

By purchasing, downloading, installing, accessing, or using Hylume, you agree to these Terms. If you do not agree to these Terms, do not install or use the Software.

1. About Hylume

Hylume is desktop business-management software designed for makers and small product businesses. It provides tools for functions such as product management, pricing, customers, orders, production, equipment, inventory, expenses, vendor events, marketing content, reporting, and related business activities.

Hylume is intended to assist users in managing their businesses. It does not replace professional accounting, tax, legal, financial, or other professional advice.

2. Software Licence

Subject to these Terms and payment of all applicable fees, you are granted a limited, non-exclusive, non-transferable, revocable licence to install and use Hylume for your personal or business purposes.

Purchasing Hylume grants you a licence to use the Software. It does not transfer ownership of the Software, its source code, intellectual property, branding, or other proprietary materials to you.

Unless otherwise stated at the time of purchase, your Hylume Desktop licence is perpetual for the version of the Software covered by your purchase.

3. Device Activations

Each Hylume Desktop licence includes a maximum of two device activations.

The additional activation is provided primarily to allow you to continue using Hylume if you replace, upgrade, or otherwise change your computer.

A licence is intended for use by the individual or business that purchased it and may not be shared with, transferred to, or used by another person or business.

Once both activations have been used, additional activations are not automatically included. If you need assistance because of a hardware failure, computer replacement, or other exceptional circumstance, please contact Hylume Support.

You may not sell, rent, sublicense, distribute, share, or otherwise provide your Hylume licence or activation credentials to another person or business.

We may use reasonable technical measures to prevent unauthorized activation, licence sharing, or misuse.

4. Updates and Future Versions

Your purchase includes the updates specifically described on the Hylume website or purchase page at the time of purchase.

Where a licence includes Hylume 1.x updates, updates released within the Hylume 1.x product line are included at no additional charge.

Future major versions, including Hylume 2.0 or later, may be offered separately and may require an additional purchase or upgrade fee.

We do not guarantee that any particular feature, update, or future version will be released.

5. Local Data and Backups

Hylume is designed to store its primary business data locally on your computer.

You are responsible for maintaining appropriate backups of your Hylume data and other important business information.

Hylume may provide built-in backup functionality, but the availability of such functionality does not remove your responsibility to maintain adequate backups.

We are not responsible for data loss resulting from hardware failure, operating-system failure, malware, accidental deletion, improper use, failure to maintain backups, third-party software, or circumstances outside our reasonable control.

6. Internet-Connected Features

Core portions of Hylume may operate without a continuous internet connection.

Certain features may require internet access, including features that retrieve online information, access third-party services, check for updates, verify licences, or otherwise communicate with external systems.

The availability of these features may depend on third-party services outside our control.

7. Pricing and Business Calculations

Hylume may provide calculations, estimates, recommendations, suggested selling prices, equipment rates, margins, costs, profitability information, or other business-related information.

These outputs are provided as business-management aids only.

Results depend on the information entered by the user, assumptions used by the Software, and other factors. We do not guarantee that any calculated or suggested price will produce a particular profit, margin, sales result, tax outcome, or business result.

You remain responsible for reviewing your costs, prices, financial information, and business decisions.

8. Equipment and External Information

Hylume may provide information concerning equipment, operating costs, estimated rates, industry averages, or other externally sourced or calculated information.

Such information may be incomplete, outdated, inaccurate, or unsuitable for your particular equipment or circumstances.

Users should verify important specifications, costs, rates, and other information before relying upon them.

9. Marketing Tools

Hylume may provide tools that help users create captions, marketing copy, prompts, social-media content, or other promotional materials.

You are responsible for reviewing content before publishing it and ensuring that your use of that content complies with applicable laws, platform rules, intellectual-property rights, advertising requirements, and other obligations.

Hylume does not guarantee the accuracy, performance, reach, engagement, or commercial results of marketing content produced using the Software.

10. User Responsibilities

You are responsible for the information you enter into Hylume and for how you use the Software.

You agree not to:

  • copy, modify, distribute, sell, rent, sublicense, or commercially redistribute Hylume except as expressly permitted;

  • reverse engineer, decompile, disassemble, or attempt to obtain Hylume's source code except where such restriction is prohibited by applicable law;

  • bypass or interfere with licence, activation, security, or access-control mechanisms;

  • use Hylume for unlawful purposes;

  • use another person's licence without authorization; or

  • intentionally interfere with the operation or security of the Software or related services.

11. Intellectual Property

Hylume, including its software, interface, designs, branding, logos, documentation, graphics, and other original materials, is protected by applicable intellectual-property laws.

All rights not expressly granted under these Terms are reserved.

You retain ownership of the business information, product information, customer information, images, and other content that you enter into Hylume, subject to any rights held by third parties in that content.

12. Third-Party Services

Hylume may integrate with, link to, or provide functionality involving third-party products, websites, APIs, platforms, payment processors, or other services.

Those services are governed by their respective providers and may have separate terms and privacy policies.

We are not responsible for the availability, operation, accuracy, security, policies, or actions of third-party services.

Third-party services may change or discontinue functionality, which may affect related Hylume features.

13. Purchases and Payment

Prices are displayed in the currency indicated at checkout and may be subject to applicable taxes.

Payments may be processed by a third-party payment provider. Your payment transaction may therefore also be subject to that provider's terms and privacy practices.

We may change the price of Hylume at any time. Price changes do not affect licences that have already been purchased and paid for unless otherwise expressly agreed.

Promotional, introductory, beta, or launch pricing may be changed or withdrawn at any time.

14. Refunds

Purchases are subject to the refund policy displayed on the Hylume website or during checkout at the time of purchase.

Nothing in these Terms limits any refund, cancellation, or consumer rights that cannot legally be excluded under applicable law.

15. Beta and Pre-Release Software

If you use a beta, preview, testing, or other pre-release version of Hylume, you acknowledge that the Software is still under development.

Beta software may contain bugs, incomplete functionality, unfinished interfaces, compatibility problems, data issues, or other errors.

You should maintain backups before installing or updating beta software.

Features available during beta testing may be changed, removed, redesigned, or replaced before commercial release.

16. Availability and Changes to Hylume

We may improve, modify, add, remove, or replace features of Hylume over time.

While we aim to maintain a reliable product, we do not guarantee uninterrupted availability of every feature or compatibility with every computer, operating-system configuration, third-party service, or future version of Windows.

We may discontinue support for obsolete versions where reasonably necessary.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Hylume is provided on an “as is” and “as available” basis without warranties or conditions not expressly provided in these Terms.

We do not guarantee that Hylume will be error-free, uninterrupted, compatible with every system, or suitable for every business purpose.

Nothing in these Terms excludes warranties, conditions, guarantees, or other rights that cannot lawfully be excluded under applicable consumer-protection law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Hylume and its owners, operators, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of, or inability to use, the Software.

This includes, where permitted by law, loss of profits, revenue, business opportunities, goodwill, or data.

To the maximum extent permitted by applicable law, our aggregate liability arising from or relating to Hylume or these Terms will not exceed the amount you paid for the applicable Hylume licence.

These limitations do not apply where liability cannot legally be excluded or limited.

19. Termination

Your rights under these Terms may terminate if you materially violate these Terms.

Upon termination, you must stop using Hylume and, where applicable, uninstall copies of the Software for which your licence rights have terminated.

Provisions that by their nature should survive termination—including intellectual-property protections, disclaimers, and limitations of liability—will continue to apply.

20. Privacy

Your use of Hylume is also subject to the Hylume Privacy Policy.

The Privacy Policy should be reviewed to understand what information Hylume collects, how information is handled, and how any online or third-party functionality may affect your information.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes to Hylume, applicable laws, business practices, or third-party services.

The current version will be posted on the Hylume website with its effective or last-updated date.

Where required by applicable law, we will provide appropriate notice of material changes.

22. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional requirements that apply to you, disputes arising from these Terms or Hylume will be subject to the jurisdiction of the courts of British Columbia, Canada.

23. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

24. Entire Agreement

These Terms, together with any applicable Privacy Policy, Refund Policy, purchase terms, and other policies expressly incorporated by reference, constitute the agreement between you and Hylume concerning your use of the Software.
